Riasys Cloud Web Site may at any time, for any reason, modify or discontinue the availability of the Riasys Cloud Web Site Web Sites, Third Party Sites and Online Services feature. 8. The Online Services feature may also make available web sites and/or web pages operated by third parties offering material, information and services (the "Third Party Sites"). LIMITATION OF LIABILITY. Riasys Cloud Web Site WILL HAVE NO LIABILITY RELATED TO YOUR FILES CONTAINING IMAGES, PHOTOGRAPHS, SOFTWARE OR OTHER MATERIALS ARISING UNDER LAWS OF COPYRIGHT, LIBEL, PRIVACY, OBSCENITY OR OTHERWISE. Riasys Cloud Web Site ALSO DISCLAIMS ALL LIABILITY WITH RESPECT TO THE MISUSE, LOSS, MODIFICATION OR UNAVAILABILITY OF SUCH FILES. Nothing contained in these Terms and conditions limits Riasys Cloud Web Site's liability to you in the event of death or personal injury resulting from Riasys Cloud Web Site's negligence or from the tort of deceit (fraud). INDEMNITY AND LIABILITY. You agree to indemnify and hold Riasys Cloud Web Site, and its subsidiaries, affiliates, officers, agents, cobranders or other partners, employees and suppliers harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of (a) files or other material containing images, photographs, software or other material you upload, submit or otherwise transmit, (b) your use of the Online Services feature or Services and Materials, (c) your violation of these Terms and Conditions or the riasys.com Terms and Conditions or (d) your violation of any law, rule or regulation or the rights of any other person or entity. 14. NO RESALE OF SERVICE You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service. 15. TERMINATION You agree that Riasys Cloud Web Site in its sole discretion, may terminate your password, account (or any part thereof) or use of t he Service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of use or if Riasys Cloud Web Site believes that you have violated or acted inconsistently with the letter or spirit of the TAC. Riasys Cloud Web Site may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this TAC may be effected without prior notice, and acknowledge and agree that Riasys Cloud Web Site may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. Further, you agree that Riasys Cloud Web Site shall not be liable to you or any third-party for any termination of your access to the Service. 16. DEALINGS WITH ADVERTISERS AND MERCHANTS Your correspondence or business dealings with, or participation in promotions of, advertisers and merchants found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser or merchant. Because Riasys Cloud Web Site has no control over such sites and resources, you acknowledge and agree that Riasys Cloud Web Site is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that Riasys Cloud Web Site shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource. 18. Riasys Cloud Web Site'S PROPRIETARY RIGHTS You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software ") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorised by Riasys Cloud Web Site or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part. Riasys Cloud Web Site grants you a personal, non-transferable and non-exclusive right and licence to use the object code of its Software on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicence, grant a security interest in or otherwise transfer any right in the Software. These Terms and Conditions will be governed by and construed in accordance with the substantive laws in force in: (a) the State of Jharkhand , India if a license to the Riasys Cloud Web Site software in which the Online Services feature is included (the "Software") is purchased when you are in any part of the world. The respective court Jamshedpur City , Jharkhand , India law applies. These Terms and Conditions will not be governed by the conflict of law rules of any jurisdiction or the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. 20. LANGUAGE; TRANSLATION. It is the express wish of the parties that the Terms and Conditions and all related documents have been drawn up in English.
